You will, of course, eliminate more noise if you soundproof both, but doing the floors will probably be perfectly adequate.

You can tackle soundproof construction of a ceiling either by simply adding a layer of acoustical ceiling tiles, or by using resiliency bars, which will separate the new ceiling form the existing one and allow you to place your soundproofing materials between them. Both of these soundproof construction methods, however, will require you to work upside down and will reduce the height of the room in which they are used.
